Welcome to Agentlyx AI LLC ("Agentlyx", "we", "our", or "us"). By accessing or using our AI-powered scheduling, booking, and automated customer interaction services (the "Services"), you agree to these Terms of Service.

1. Use of Services

You agree to use the Services lawfully and in accordance with these Terms. You are responsible for your use of the platform, including any data, content, configurations, and instructions you submit or enable through the Services.

2. User Responsibilities

You must:

• •maintain accurate and up-to-date business and service information;
• •comply with all applicable laws and regulations related to your use of the Services;
• •obtain all required notices, authorizations, and/or consents for the personal data you submit or manage through the Services, where applicable;
• •not misuse, reverse engineer, interfere with, scrape, spam through, or disrupt the Services, or use the Services in violation of third-party platform policies (for example, messaging platforms).

3. Account Access

You may need to create an account to access certain features. You are responsible for:

• •safeguarding your login credentials;
• •maintaining the confidentiality of your account;
• •promptly notifying us of any unauthorized access or security incident related to your account.

4. Service Availability

We aim for high availability, but we do not guarantee uninterrupted or error-free service. The Services may be affected by:

• •scheduled maintenance,
• •updates and upgrades,
• •third-party provider interruptions,
• •technical failures,
• •events beyond our reasonable control.

5. Intellectual Property

All rights, title, and interest in and to the platform, software, models, documentation, interfaces, designs, trademarks, and technologies used or developed by Agentlyx are the exclusive property of Agentlyx AI LLC and/or its licensors.

Except as expressly stated otherwise, these Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Services during the applicable subscription or contractual term.

6. User Data, Privacy, and Processing on Behalf of Customers

Our processing of personal data is described in our Privacy Policy.

Agentlyx AI LLC may process personal data in different roles depending on the context:

• •as a Data Controller (or equivalent role under applicable law) for data needed to operate our business and platform (for example, billing, support, security, and compliance); and/or
• •as a Data Processor (or equivalent role under applicable law) when processing personal data on behalf of our business customers (for example, clinics, dental practices, or other businesses) in connection with customer interactions, scheduling, messaging, and related services.

You represent and warrant that you are responsible for the lawful origin of the data you submit to the Services and that you have the necessary legal basis to process such data.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Agentlyx AI LLC shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, data, or business interruption.

Agentlyx AI LLC's total aggregate liability arising out of or relating to the Services shall not exceed the amount paid by you (or the applicable customer) for the Services during the three (3) months immediately preceding the event giving rise to the claim.

8. Termination

We may suspend or terminate access to the Services, with or without prior notice, if:

• •you violate these Terms;
• •your use is unlawful, abusive, or creates security/legal risk;
• •continued access may harm Agentlyx, other users, or third-party providers.

Termination does not relieve you of obligations that survive by nature, including payment obligations, confidentiality obligations, and applicable legal responsibilities.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to conflict of law rules, subject to any mandatory laws that may apply.
